1. SERVICE DESCRIPTION: As a World Wide Web service provider, DropshipDesign.com LLC provides dedicated server computers which are integrated into the Internet. These server computers shall send and receive information in relationship to the World Wide Web. Customer wishes to connect a web site(s) to the World Wide Web utilizing the hardware and software resources of DropshipDesign.com LLC to establish an Internet web presence on one of DropshipDesign.com LLC's server computers.

1a. SPAM (unsolicited email): DropshipDesign.com LLC has a strict NO SPAM policy. If you have any plans of sending out SPAM, regardless of what server/computer sends it out, please do not continue with the order. Any account that ignores this policy and sends SPAM anyway will be terminated. In other words, if you send SPAM your account would be billed for the remainder of your term, and no refunds would be allowed. By completing this contract, you agree you will not send any SPAM related to your site from any computer.

1b. ADULT SITES: DropshipDesign.com LLC does NOT host adult sites, nor sites which generally would be perceived as being of adult nature based on language, content, photos, images, including nudity of any form. If any of these occur on an account, the same account termination procedures and forfeitures apply as indicated above on line 1a.

1c. ILLEGAL INFORMATION: DropshipDesign.com LLC does NOT host any site which contains or promotes illegal products or information of any kind. If any of these occur on an account, the same account termination procedures and forfeitures apply as indicated above on line 1a.

1d. MISCELLANEOUS CONDITIONS: Client hereby agrees that all domain names and any material submitted for publication on DropshipDesign.com LLC's servers through client's account(s) will not contain anything leading to an abusive or unethical use of the web hosting product(s) or the host server(s). Abusive and unethical materials and uses include, but are not limited to pornography, obscenity, nudity, violations of privacy, computer viruses, hacking, warez, and any harassing, offensive and/or harmful materials or uses. DropshipDesign.com LLC management retains the right and final opinion regarding whether any portion of a site falls within one of these categories. Client hereby agrees to indemnify and hold harmless DropshipDesign.com LLC from any claim resulting from your publication of materials or your use of those materials. Violations of DropshipDesign.com LLC's Terms Of Service may result in immediate account termination and DropshipDesign.com LLC reserves the right to charge up to $50.00 clean-up fee.

1e. MISCELLANEOUS FEES: If Company registers a sub-domain name on behalf of Client, and Client subsequently requests to switch to a domain name instead, Client is required to pay a fee of $39.99 which will include webstats at no extra charge. If Company registers a sub-domain name on behalf of Client, and Client subsequently requests to switch to another sub-domain name instead, Client is required to pay a fee of $39.99.

2. CONDITIONS: The application and this Agreement constitute a binding contract between DropshipDesign.com LLC and the Customer and does not extend to any other person or entity.

3. WARRANTIES: With respect to the service to be provided herein, the Client acknowledges that DropshipDesign.com LLC makes absolutely no warranties whatsoever, express or implied. As a result, the Customer agrees that DropshipDesign.com LLC shall not be liable to the Customer for any claims or damages which may be suffered by the Customer, including, but not limited to, losses or damages resulting from the loss of data (including database data in any format), email data, delays, non-deliveries, or service interruptions. The customer also acknowledges that by using any shopping cart system, whether provided by DropshipDesign.com LLC or not, DropshipDesign.com LLC will not be held responsible for chargebacks, errors, loss of revenue, loss of data, web server failure, downtime, or any disputes that may arise from the use of any shopping cart system. Although Dropshipdesign.com LLC will do it's best to provide accurate QTY in stock, it will be the Client's responsibility to choose and list items with sufficient inventory in stock to last until the end of any auction listing. Due to the nature of the dropshipping business, Dropshipdesign.com LLC will not be liable for lack of inventory.

4. INFORMATION: The utilization of any data or information received by the Customer from the utilization of the service to be provided by DropshipDesign.com LLC is at the Customer's sole and absolute risk. DropshipDesign.com LLC specifically disclaims and denies any responsibility for the completeness, accuracy or quality of information obtained through the services to be provided hereby.

5. DOMAIN NAME: If DropshipDesign.com LLC shall acquire an Internet Domain Name on behalf of the Customer, then in such case the Customer hereby waives any and all claims which it may have against DropshipDesign.com LLC, for any loss, damage, claim or expense arising out of or in relation to the registration or renewal of such Domain Name, including but not limited to, registration in any on-line or off-line network directories, membership lists or registration lists, or the release of the Domain Name from such directories or lists following the termination of the providing of this service by DropshipDesign.com LLC for any reason.

6. PAYMENT: DropshipDesign.com LLC currently charges a fixed ONE TIME signup fee which is due at the time the application is filled out, and submitted to DropshipDesign.com LLC.

Renewal: In order to sustain the cost of our operations, we will charge you a yearly renewal fee of only $67.00. You can cancel your membership at anytime to avoid the yearly renewal fee which will otherwise be due 12 months following the date of your purchase. We will not charge your credit card automatically. An email will be sent to you with your permission to renew our services. A lack of response will be considered as a negative response. We will only charge your CC if you explicitly ask for a renewal of our services.

7. ADVERTISING: DropshipDesign.com LLC will include ads on the home page of your website, from which you will earn commissions on each sale that you make. These ads will help you generate more income and are of course optional and can be removed by simply creating a ticket through the CONTACT US page. You can advertise our wholesale packages using any marketing methods of your choice but you are restricted to selling them to the prices set by DropshipDesign.com LLC. You are not authorize to resell our dropship services or resell access to our dropship plans other than through our affiliate program. Violation of this term may result in a immediate suspension of your account without any notice.

8. UNILATERAL SERVICE REVOCATION: In the event that DropshipDesign.com LLC may at any time believe that the service is being utilized for unlawful purposes by the Customer or in contravention with the terms and provisions herewith, DropshipDesign.com LLC may immediately discontinue such service to the Customer without liability.

SPAM: In the event that DropshipDesign.com LLC determines the account to be participating in any way with SPAM, including mining of email addresses, sending unsolicited email, or any other form of SPAM, DropshipDesign.com LLC may immediately discontinue such service to the Customer without liability..

Indirect Storage and/or Processing: DropshipDesign.com LLC does not allow our servers to be used as a storage location for download or access of files of any type (.exe, .doc, .pdf, .asp, .htm, .gif, .jpg etc.) that are not provided by us. Also, DropshipDesign.com LLC does not allow our servers to be used to process scripts and forms which are not provided by us.

Email Services: Email accounts (POP3) are intended to be used directly by the individual/company/organization associated with the domain that we host. It is strongly recommended to use an email program like Outlook Express to retrieve the email from the POP3 account and store the emails locally. Due to the ever changing nature of email, the email POP3 accounts are not backed up, and in accordance with Item 3 above, DropshipDesign.com LLC shall not be liable for any loss of email data stored on the email server(s). Storage of received, sent and any other format of email is considered in determining the total disk space used for the account. Likewise, email traffic is considered in determining the total traffic/bandwidth used by the account. The maximum disk space a POP email account may use individually is 50MB.

9. MATERIAL and INDEMNIFICATION: Client hereby agrees that all domain names and any material submitted for publication on DropshipDesign.com LLC's server(s) through client's account(s) will not violate or infringe any copyright, trademark, patent, statutory, common law or proprietary rights of others, or contain anything libelous or harmful. Client hereby agrees to indemnify and hold harmless DropshipDesign.com LLC for any claim resulting from the submission of illegal materials, any and all loss, cost, expense, and damages on account of any and all manner of claims, demands, actions, and proceedings that may be initiated against DropshipDesign.com LLC on the grounds of such violation. Violations to DropshipDesign.com LLC's Terms Of Service will result in immediate account termination and DropshipDesign.com LLC reserves the right to charge up to $50.00 clean-up fee.

10. CHANGES IN TERMS OF AGREEMENT: DropshipDesign.com LLC reserves the right to make changes to the terms and conditions of this Agreement. It is the Customer's responsibility to periodically review the Web Hosting Contract and Terms of Service Agreement). Utilization of the service by the Customer following the effective date of such change shall constitute acceptance by the Customer of such change(s).

11. ENTIRE AGREEMENT AND UNDERSTANDING: This instrument and the application for web space constitute the entire agreement between the parties, and represent the complete and entire understanding of the parties with respect to the subject matter of this Agreement.

12. GOVERNING LAW: This Agreement shall be governed by the laws of the State of Washington in the United States of America. In the event that any term or provision of this instrument is held by a court of competent jurisdiction to be unenforceable, then the remaining provisions of this instrument and the agreement which it evidences, shall remain in full force and effect.

13. REFUSAL OF SERVICE: We reserve the right to refuse or cancel service at our sole discretion. Failure to comply with with any of our policies will result in immediate termination of services. No refunds will be issued under these circumstances.

14. LOG FILES: Log files may be deleted on a periodic basis.

15. CPU, MEMORY, DISK SPACE: It is a violation for anyone to post information or to include programs, scripts, images on the web space provided through the DropshipDesign.com LLC services which consume excessive bandwidth, CPU time or storage space. For most web sites (probably over 90%) this isn't even an issue. If your site(s) violate this agreement, DropshipDesign.com LLC reserves the right to de-activate or terminate your site(s) service immediately.

16. CANCELLATION OF SERVICES: The signup fee for all our Dropship Packages are non-refundable after 5 days. We will honor cancellation requests within a period of 5 days by issuing a refund of the setup fees minus a cancellation fee. Memberships older than 5 days can also be canceled to avoid the yearly renewal fee but the setup fee will not be refunded.

Dropshipdeisgn.com reserves the right to suspend a membership if a payment for delivered merchandise has been reversed due to a chargeback, paypal claim or any other means used to reverse a payment. Dropshipdesign.com will seek assistance from a collection agency in such cases. If the revered payment is paid, a reactivation fee of $49.99 will be imposed in order to restore the membership.

17. WEBSITE PERFORMANCE: Performance of your website will be determined by the amount of effort put in marketing your website. DropshipDesign.com will not be responsible for lack of sales or revenue. We do provide marketing tips which we use ourselves for marketing our services but DropshipDesign.com will not be responsible for any loss of money due to lack of sales.

18. TYPOGRAPHICAL ERRORS: In the event a product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from our suppliers or from staff error, we shall have the right to refuse or cancel any orders placed for product listed at the incorrect price. We shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit card account in the amount of the charge. In order to capture as much detail in our images for your benefit, actual jewelry size may be different than the size they appear in the site due to extreme close ups of the images.

19. PRODUCT AVAILABILITY: DroshipDesign.com LLC does not guarantee that all merchandise sold through our network will be available at all time. When possible, we refresh all websites daily to reflect the quantity in stock to the best of our knowledge. DropshipDesign.com will not be accountable and will not be subject to any liability in the event of depleated inventory for any given product.

20. REPOSSESSION: We reserve the right to resell a website for any of the following reasons, abandonment, charge backs, non-payment for memberships.

DropshipDesign.com LLC reserves the right to refuse service to anyone at any time. DropshipDesign.com LLC reserves the right, in its sole discretion, to deactivate your account(s) without further warning upon an indication of credit problems including delinquent payments, or if this service contract is violated, or if Client's account or the traffic on this account causes any kind of network or server problem or disturbances, or if Client threatens Dropshipdesign.com in any form or manner, or if Client engages in bad publicity against Dropshipdesign.com LLC. It is also imperative that all complaints be sent to us through the CONTACT US page as we do not endorse members that file complaints with third party websites. Such abuse may result in an immediate termination of the membership.

21. YOUR PROTECTION: We will not give any information about you, your company or your employees to any, firm, individual, company or government office without a federal court order to do so. Your private information including email address's will not be sold to any of the above entities as well. All critical information is encrypted and is security monitored on our servers.

IN WITNESS WHEREOF, the parties hereto, intending to be legally bound hereby, and in consideration of the covenants and agreements contained herein, do hereby execute this instrument, with each party warranting their ability to enter into this agreement for the person or entity herein named as a party hereto.
